MODALITIES OF PARTICIPATION OF WORKERS IN CORPORATE GOVERNANCE IN THE EU AND SERBIA
Summary
Participation of workers in corporate governance is the subject of either legislative or autonomous regulation. The modalities of participation of the workers in economic companies are different. The basic forms are participation in managing by membership in the bodies of the company (managing and/or supervisory board), participation in economic structure of the company (shareholding of the workers) and participation in the form of informing and consulting directly or by means of a special body like the council of the workers. This is the reason why these modalities also are not unique, instead, they differ from state to state, and very often from company to company too, within the same state. Since the workers represent one of the interested subjects of the company, the companies have to introduce novelties in the practice of participation of the workers and to adapt them to meet new requirements and to exploit new possibilities in order to achieve and upgrade the common interests (integration of work and capital).
The paper specifically analyses the modalities of participation of the workers in managing in particular states which are members of EU, participation of the workers in menaging in European company (SE) and in Serbia.
